These Terms of Service (hereinafter referred to as "Terms") regulate the procedure for interaction between BESS Ukraine Engineering Group (hereinafter referred to as the "Executor") and corporate Customers (LLC, FOP) when ordering services for the design, supply and commissioning of industrial energy storage systems (BESS) through the bess.com.ua website and related communication channels.
1. Subject of the Agreement
The contractor provides comprehensive EPC contracting services (Engineering, Procurement, Construction) in the field of industrial battery energy storage systems with a capacity from 30 kW to 5+ MW:
- Engineering (Design): Feasibility study, development of project documentation of the P/R stage, one-line schemes, calculation of ROI and payback period.
- Procurement (Supply): Procurement and logistics of equipment from Tier-1 manufacturers (CATL, EVE Energy, Deye, Pylontech), customs clearance, warehouse storage in Kyiv.
- Construction (Montage): Chief installation, commissioning works, integration of the existing power grid of the facility, connection to ASKOE.
- Warranty service: Technical support, monitoring the state of battery modules, planned replacement of components according to the warranty card.
2. Order procedure
2.1. Application
The customer submits an application through one of the channels: a form on bess.com.ua (TEO request, Configurator, Partner application), AI consultant on the site, e-mail engineering@bess.com.ua or Telegram bot. Submitting an application is not a contractual obligation.
2.2. Preliminary consultation
Within 24 working hours of receiving the application, the Contractor's engineer contacts the Customer to clarify the technical parameters: object type, load capacity, current tariff, consumption profile, presence of a transformer substation.
2.3. Feasibility Study and Commercial Proposal
Based on the received data, the Contractor prepares a Technical and Commercial Proposal (TCP) with details: equipment specification, estimate, work schedule, ROI calculation. TKP is provided free of charge.
2.4. Contract
In the case of agreement on the TCP, the parties sign a Supply Agreement and/or a Subcontract Agreement. Payment is made in stages: advance (30-50%), payment upon shipment (30-40%), final payment after commissioning (10-30%).
3. SLA — Service Level
The contractor guarantees the following service quality parameters for all projects:

4. Warranty Obligations
4.1. Equipment warranty
LiFePO4 battery modules produced by CATL / EVE Energy have a warranty of 10 years or 6000 full charge-discharge cycles (whichever comes first). The remaining capacity at the end of the warranty period is at least 70% of the nominal capacity (SOH ≥ 70%).
4.2. Warranty for inverters
Deye hybrid inverters have a manufacturer's warranty of 5 years with the possibility of extension to 10 years by additional agreement. The contractor provides warranty service on the territory of Ukraine.
4.3. Exclusion of warranty
- Mechanical damage caused by the Customer or third parties.
- Operation of the equipment in conditions that do not correspond to the technical documentation (temperature regime, humidity, electrical parameters).
- Tampering with the hardware or software without the written permission of the Contractor.
- Natural disasters, military operations (force majeure).
5. Liability of the Parties
5.1. The performer undertakes:
- Perform work in accordance with the agreed TKP and project documentation.
- Only use certified equipment with compliance documents.
- Ensure the confidentiality of the Customer's technical data (see Privacy policy).
- Provide a complete set of executive documentation after completion of work.
5.2. The customer undertakes:
- Provide reliable technical data for design (one-line diagrams, ASKOE data, TP parameters).
- Provide access to the facility for installation work within the agreed time frame.
- Follow the Contractor's recommendations regarding equipment operation.
- Make payment in accordance with the schedule determined by the Agreement.
6. Use of the Website
6.1. AI-Consultant
The bess.com.ua website features an AI-based AI advisor that provides preliminary BESS configuration recommendations. AI's responses are for informational purposes only and do not constitute an offer or contractual obligation. Final technical parameters and prices are agreed upon by the engineer.
6.2. Configurator
The online configurator (quiz) on the website helps to determine the optimal type of BESS for the Customer's object. The result of the configurator is a preliminary recommendation; the exact specification is determined after the engineering survey.
6.3. Analytical materials
The articles in the "Engineering Digest" section are educational and analytical in nature. The contractor is not responsible for decisions made solely on the basis of published materials without prior engineering consultation.
7. Intellectual Property
All materials on bess.com.ua (texts, graphics, calculation models, project documentation) are the intellectual property of the Contractor or are used on the basis of license agreements. The customer receives the right to use project documentation exclusively for the implementation of a specific project specified in the Agreement.
8. Force majeure
The parties are released from responsibility for partial or complete non-fulfillment of obligations, if it is the result of force majeure circumstances: hostilities, natural disasters, decisions of state bodies restricting economic activity, interruptions in the work of international logistics. The term of performance of obligations is extended for the period of force majeure.
9. Resolution of Disputes
Disputes are resolved through negotiations. In case of failure to reach an agreement, in accordance with the current legislation of Ukraine. Jurisdiction — commercial court at the location of the Executor (Kyiv).
10. Changes to the Terms
The Contractor reserves the right to make changes to these Terms. The current edition is always available at bess.com.ua/terms.html. For existing Contracts, changes become effective only after written approval by the Customer.
